ライブドアvsフジテレビ問題が、騒々しいですね。
ライブドアの堀江社長が、今回の新株予約権の取締役会決議に関して、「フジテレビに強制された」などと発言し、それに対して、フジテレビの日枝会長が「しっかりと議論して決定されたものだ」と返しておりました。ニッポン放送の取締役でない人がそんな発言をしておれば、堀江氏の発言を肯定しているようにとられるのですが、うがった見方なんでしょうか。
株式会社という制度について、ここまで大きく議論されてきているのは、日本のなかでははじめてなんじゃないでしょうか。
汚職事件などにからまないというところが健全でいいですね。
本日の日経新聞社説にて
フジテレビが買い付け株数を下方修正したTOB条件の変更も証券取引法に抵触する疑いがある。
証券取引法第二十七条の六
第３項 買付け等の価格の引下げ、買付予定の株券等の数の減少、買付け等の期間の短縮その他の政令で定める買付条件等の変更は、前二項の規定にかかわらず、行うことができない。
思い切り禁止してますね。
ただ、この禁止に関する罰則規定などは設けられておりません。証券取引法などは勉強したことないですが、この決定自体が原始的無効となるのでしょうか。
